AmerisourceBergen purchases majority state in healthcare business

Valley Forge-based AmerisourceBergen Corp. recently entered into an agreement to purchase a majority stake in Walgreens Boots Alliance’s Alliance Healthcare businesses for $6.5 billion.

The Walgreens Boots Alliance is a global retail and wholesale pharmacy company.

AmerisourceBergen will also deliver 2 million shares of common stock when the transaction closes at the end of AmerisourceBergen’s fiscal year-end 2021. It will be contingent on customary closing conditions.

The purchase allows AmerisourceBergen to provide greater support for pharmacies and pharmacists and provide pharmaceutical manufacturers with integrated solutions.

“AmerisourceBergen’s financial and strategic position enable this next evolution of enhancing our ability to provide healthcare capabilities across regions and deliver innovative solutions for our upstream and downstream partners,” Steven Collis, AmerisourceBergen chairman, president and CEO, said. “Today’s announcements will expand our reach and solutions in pharmaceutical distribution and add to AmerisourceBergen’s breadth and depth of global manufacturer services, supporting our ability to create differentiated value for all our stakeholders. I look forward to extending and expanding our successful partnership with Walgreens Boots Alliance and welcoming the industry-leading team at Alliance Healthcare to AmerisourceBergen. ”

The deal does not include Walgreens Boots Alliance’s Chinese, Italian or German operations.

The companies also extended and expanded their commercial agreements until 2029.
